Frequently asked questions

Which state is best?

There is no single right state. The choice depends on where you will operate, your investor plans, how much information you are comfortable having on the public record, and the annual duties. You may also need to register in the state where you actually do business. We can look at it together in a free intro call.

Can someone living outside the US form a US company?

Yes. According to the IRS, most states do not restrict LLC ownership; members can include foreign individuals or entities. Every state needs a registered agent with an in-state address (in New York the Secretary of State is the agent).

Does the choice of state change federal taxes?

No. IRS duties (such as Form 5472) do not depend on the state; state taxes generally depend on activity in the state and where income is sourced.

Why are no amounts shown?

Fees and tax amounts change often, and an outdated figure would mislead. Each row lists its official source, where the current amounts are.

What becomes public?

Formation filings and recurring reports are on the public state record; which names appear depends on the state and company type (the 'names' rows in the table). Florida's annual report also shows the company's EIN.
