UK · Strike-off

Close your UK company, properly off the register

An unused LTD doesn't close by itself; its annual obligations continue. We strike your company off the Companies House register properly and manage the process from start to finish.

Company closure

Why closing properly matters

While the company stays on the register, annual accounts, tax returns and confirmation statements remain due.

End your obligations

Annual accounts, tax returns and confirmation statements end with a proper strike-off.

The right order, no surprises

Assets, the bank account and final returns are dealt with in the right order before closure.

An official, recorded closure

We track everything from the Gazette notice to removal from the register.

Scope

What's included?

  • Eligibility check (no trading or name change in the last 3 months, no threat of liquidation and no creditor agreements)
  • Final accounts and the final Company Tax Return (HMRC)
  • DS01 application to Companies House (signed by a majority of directors)
  • Notifying interested parties and tracking the Gazette notice

Added when you need it

  • Closing VAT and PAYE registrations
  • Guidance on closing the company bank account

We confirm the scope and process together in a free intro call.

Process

How it works, step by step

  1. 01

    Free intro call

We assess eligibility and any open obligations together.

  2. 02

    Getting ready to close

Assets and the bank account are dealt with; final accounts and the tax return go to HMRC.

  3. 03

    DS01 application

We apply, and a copy goes to shareholders, creditors and other interested parties no later than 7 days after applying.

  4. 04

    Gazette notice

Companies House publishes a notice in The Gazette; if no one objects, the company is struck off once the 2 months in the notice have passed.

  5. 05

    Dissolution

A second notice confirms the company no longer exists; we keep you informed throughout.

Transparency

Good to know

Remaining assets go to the Crown

Anything left in the company after strike-off, including bank balances, passes to the Crown (bona vacantia), and HMRC can't issue refunds to a dissolved company; assets must be dealt with first.

The bank account is frozen

Once struck off, the company's bank account is frozen.

Strike-off isn't for every company

If it traded or changed its name in the last 3 months, is threatened with liquidation or has an agreement with creditors, another route (such as liquidation) is needed.

Keep your records

Bank statements, invoices and other business documents should be kept for 7 years after strike-off.
