Accounting

Why professional accounting?

Forming a US company is just the start; foreign-owned companies have to report to the IRS every year.

Avoid heavy penalties

If Form 5472 isn't filed on time and in full, the IRS charges a heavy penalty.

Never miss a deadline

We track the IRS and state calendar for you and request extensions on time when needed.

One team, one contact

Formation, EIN, ITIN and annual filings handled by the same team.

  • Sending the return to the IRS and uploading copies to your dashboard
  • Filing calendar, deadline tracking and an extension request (Form 7004) when needed
  • Support if the IRS writes to you

Added when you need it

  • Bookkeeping: your bank and payment activity recorded regularly

  • The final return in the year you close the company
  • ITIN application for the owner

Transparency

Good to know

Form 5472 + pro forma 1120

A US LLC wholly owned by a foreign person (a disregarded entity) reports its reportable transactions with its owner on Form 5472, attached to a pro forma Form 1120. Formation costs, contributions and distributions count too.

Due date and extension

For a calendar-year company the deadline is 15 April of the following year (the 15th day of the 4th month). Form 7004 generally gives an automatic 6-month extension; it doesn't extend the time to pay any tax.

The cost of filing late

If Form 5472 isn't filed on time or the required records aren't kept, the IRS charges a heavy penalty, plus an additional penalty for each 30-day period once 90 days have passed after its notice.

State obligations are separate

Apart from the federal return, most states require an annual report or an annual tax: in Wyoming the annual report is due by the first day of the anniversary month; Delaware LLCs file no annual report but pay the annual tax by 1 June.

Frequently asked questions

In most cases, yes. For a foreign-owned single-member LLC, the obligation depends on reportable transactions between the company and its owner; putting money in, taking money out or paying the formation costs all count. We confirm your situation in the intro call.
