Company closure

Why closing properly matters

While the state record and the IRS account stay open, annual reports, state taxes and filing obligations continue.

Stop ongoing obligations

Annual reports, state taxes and Registered Agent duties end with a proper closure.

Close your IRS account

The IRS won't close a business account until all required returns are filed and taxes paid; we complete every step.

A clean slate

Start your next venture without an open file from the past.

Good to know

IRS rule

The IRS won't close a business account until all required returns are filed and taxes paid.

The EIN is deactivated, not cancelled

According to the IRS, the EIN is the company's permanent tax number; it can't be cancelled, but the account can be closed and the EIN deactivated.

State requirements

States expect taxes to be paid before dissolution; Delaware, for example, requires all taxes due to the state to be paid before the certificate can be filed.

Keep your records

The IRS expects business records to be kept for set periods after closing, depending on the type of record.
